Description✓Company Secretary | Hybrid working - 2-3 days in the office rest at home| 30 - 37.5 hours per week| £40,000-£55,000 per annum

✓As Company Secretary you will be responsible for guiding the Chair and Board on their responsibilities under the rules and regulations to which they are subject
✓You will also advise on how those responsibilities should be discharged and ensure that the Board functions efficiently and effectively.

✓Prior company secretarial experience.
✓Strong technical knowledge of corporate governance.
✓Excellent attention to detail.
✓Ability to work accurately under pressure and meet deadlines.
✓Ability to troubleshoot and problem solve in a creative and innovative manner.
✓Logical, structured, and organised.
✓Ability to manage a varied workload.
✓Ability to use own initiative when required.
✓A positive and motivated attitude.
✓Computer literate and dynamic to improve future processes/procedures.
✓Excellent interpersonal, communication and report-writing skills.
✓Financial services background preferred.
✓Full or Part CGI Qualified is preferred.
✓What will your role as a Company Secretary look like?
✓Agenda setting, planning and engagement with senior stakeholders.
✓Circulate and compile Board and Committee papers and packs.
✓Review papers in accordance with the standards and accept/reject as necessary.
✓Maintain action logs and update as progress is made [via engagement with stakeholders].
✓Attend meetings and draft minutes.
✓Develop and oversee the systems that ensure that the Society complies with all applicable codes, in addition to its legal and statutory requirements.
✓Monitor changes in relevant legislation and take action accordingly.
✓Administration of key policies, making sure they are kept up to date and referred to the appropriate Committee for approval.
✓Advise the Executive and Board on legal and governance matters and liaise with external legal advisers
✓This may cover areas, but to limited to Terms of Reference, Delegation of Authority, Memorandum and Rules, Contractual Arrangements, and Mergers and Takeovers.
✓Work with the Board in reviewing key advisers – Actuaries, Internal Audit, External Audit, and Investment Managers.
✓Lead the annual review into Board and Committee effectiveness, and every three years facilitate an external review.
✓Ensure the Board Skills Matrix and Succession Plan is kept up to date in order to best support the assessment process for refreshing the Board.
✓Lead the annual review of the structure and composition of the Board and its Committees, making any recommendations to the Board as necessary.
✓Support the Chair with annual NED appraisals.
✓Support with the recruitment process and onboarding of any new Board members.
✓File necessary documents with Companies House, the Mutuals Register, FCA/PRA and others as required, and inform them of any significant changes.
✓Provide support to the Board on any specific projects.
✓Provide written reports to the Board and its Committees as required.
✓Contribute to meeting discussions as and when required.
